Bright Path Creative – Terms & Conditions

These Terms and Conditions apply to all services provided by Bright Path Creative (also trading as Bright Path Solutions), based in Brighton, Melbourne VIC. By engaging our services, you agree to the following terms.
1. Introduction
These Terms govern the agreement between Bright Path Creative (“we”, “us”) and the client (“you”) for services including, but not limited to:
Website design and development
Branding and logo creation
Copywriting and content strategy
IT support and setup
Digital marketing strategy and consultancy
2. Scope of Work
All deliverables and services will be detailed in your project quote or proposal. Any changes or additions to the scope must be agreed in writing and may incur additional charges.
Work may be priced at a fixed fee, hourly rate, or per-word rate depending on the project.
3. Payment Terms
Unless otherwise agreed in writing, all projects are billed at 50% upfront and 50% before final delivery
No work will commence until the deposit is received
No final deliverables will be handed over until the final payment has cleared
Invoices are due within 14 days of issue
Late payments may incur a $75 admin fee per week and may result in work being paused
We’ll always notify you first before applying any fees
4. Client Responsibilities
You agree to provide timely feedback, approvals, logins, and content to support the project timeline
All key communication must be via email to ensure a clear written record
5. Project Timelines
Estimated timelines are provided at the start of your project
Delays in content or feedback beyond 14 business days may result in your project being paused and a $150 reactivation fee applied
6. Revisions & Scope Changes
Most projects include 2–3 rounds of reasonable revisions
Requests beyond this or major changes in direction will be quoted separately or billed at $110/hour
Copywriting includes up to 2 rounds of revisions per section unless otherwise specified
7. Refinement, Edits & Post-Launch Support
Each project includes one Refinement Session and one Final Edit Session
30 days of post-launch support is included
Additional support is billed at $75/hour or quoted as needed
8. Cancellation & Refunds
Deposits are non-refundable
No refunds are provided once the project has started or an invoice has been issued
If we are unable to complete a project due to illness or staff shortages, a partial refund may be considered at our discretion
If you choose to cancel, all payments made to that point are non-refundable
9. Confidentiality
Both parties agree to keep proprietary or sensitive information confidential during and after the project.
10. Ownership & Intellectual Property
Final deliverables are transferred to you upon full payment
Bright Path Creative retains the right to showcase work in our portfolio unless otherwise agreed in writing
Any custom tools, frameworks, or code remain the intellectual property of Bright Path Creative unless explicitly transferred
10a. Copywriting Usage & Rights
All copywriting is original and tailored to your brand and intended platform
Upon full payment, you are granted usage rights for the agreed purpose
You may not resell, repurpose, or significantly alter the content without prior permission
Bright Path Creative may showcase excerpts in our portfolio unless requested otherwise
For SEO content, we recommend consulting us before making major changes to preserve performance
10b. Third-Party Licensing
Where third-party tools (e.g., Avada theme, stock images, fonts) are used, they are licensed for legal use under their original terms
These items remain the property of their original provider and are not transferred to the client unless agreed in writing
Bright Path Creative ensures proper licensing is in place but does not assume ownership of third-party tools
11. File Delivery & Storage
Final project files are delivered via Google Drive
Files are stored for 3 months after project completion
Project completion is defined as either the final file delivery or full payment of the final invoice, whichever comes first
It is your responsibility to download and back up all project assets within that time
12. Hosting & IT Support
Bright Path Creative does not provide hosting directly
We recommend reputable Australian providers for hosting, domain, and email setup
We are not responsible for disruptions caused by third-party or overseas hosting services (e.g., email issues, migration failures, data loss)
IT support is available separately through Bright Path Solutions and must be agreed under a separate scope
13. Rushed or Delayed Work
Rushed delivery or delays caused by client-side hold-ups may be subject to additional charges or rescheduling, depending on our availability
14. Timezone, Weekend & Holiday Boundaries
We operate Monday to Friday during business hours
You are not expected to respond on weekends or public holidays — and we extend the same courtesy to you
15. Limitation of Liability
Bright Path Creative is not liable for any indirect, incidental, or consequential damages
Our total liability is limited to the total amount you have paid for the service in question
16. Dispute Resolution & Governing Law
These Terms are governed by the laws of Victoria, Australia
In the event of a dispute, both parties agree to attempt resolution via respectful discussion
If needed, matters may be referred to VCAT (Victorian Civil and Administrative Tribunal)
17. Acceptance
By accepting a quote, signing an agreement, or paying a deposit, you confirm that you have read, understood, and agreed to these Terms and Conditions.
18. Signatures
A signed contract, email confirmation, or deposit payment constitutes agreement to the Scope of Work and these Terms and Conditions.
